Advanced Professional Security Terms of Use and Privacy Policy
TERMS AND CONDITIONS – SECURITY SERVICES
These Terms and Conditions (“Terms”) govern the provision of security services by **Advanced Professional Security, LLC (“Contractor” or “APS”) to the Client (“Client”). By engaging APS, Client agrees to the following:
1. Scope of Services
APS shall provide security personnel and/or related services (“Services”) as outlined in the applicable Service Agreement, Proposal, Scope of Work, or Post Orders. APS shall use commercially reasonable efforts to perform Services in a professional manner consistent with generally accepted industry standards.
2. Independent Contractor
APS is an independent contractor. All personnel provided remain employees or agents of APS and shall not be considered employees of Client. APS retains sole responsibility for hiring, supervision, compensation, and discipline of its personnel.
3. Standard of Care / No Guarantee
Client acknowledges that security services are a deterrent and do not guarantee prevention of all incidents, crimes, or losses. APS does not act as an insurer and makes no warranties, express or implied, regarding the effectiveness of the Services.
4. Client Responsibilities
Client agrees to:
- Provide safe working conditions and disclose known hazards
- Furnish accurate site information and post orders (if applicable)
- Maintain all alarms, surveillance systems, lighting, and safety infrastructure unless otherwise agreed
- Notify APS promptly of any incidents, risks, or changes to site conditions
5. Hours, Scheduling & Coverage
Services will be provided according to agreed schedules. APS will use commercially reasonable efforts to maintain full staffing; however, temporary coverage gaps due to emergencies, call-offs, or unforeseen events may occur.
6. Fees & Payment Terms
- Client agrees to pay all fees as outlined in the applicable agreement or invoice
- Standard payment terms are Net [15/30] days unless otherwise agreed
- Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law
- APS reserves the right to suspend Services for accounts past due after reasonable notice
7. Overtime, Holidays & Rate Adjustments
- Overtime (typically hours exceeding 40 per week per officer or daily thresholds) will be billed at applicable premium rates
- Holiday services may be billed at time-and-a-half or as specified
- APS reserves the right to adjust rates with written notice due to increases in labor costs, statutory wage changes, insurance premiums, or regulatory requirements
8. Insurance
APS shall maintain commercially reasonable insurance coverage, including general liability, workers’ compensation, and other coverage as required by law. Certificates of insurance will be provided upon request.
9. Limitation of Liability
To the fullest extent permitted by law:
- APS shall not be liable for indirect, incidental, special, or consequential damages
- APS’s total liability shall not exceed the total fees paid by Client for Services during the three (3) months preceding the event giving rise to the claim
- APS shall not be liable for losses resulting from events beyond its reasonable control
10. Indemnification
Each party agrees to indemnify and hold harmless the other from claims, damages, or liabilities arising out of its own negligence, willful misconduct, or breach of this Agreement.
11. Force Majeure
APS shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, labor shortages, civil unrest, natural disasters, pandemics, or government actions.
12. Term & Termination
- Either party may terminate Services with [30] days written notice, unless otherwise agreed
- APS may terminate immediately for non-payment or unsafe working conditions
- Client shall pay for all Services rendered through the termination date
13. Confidentiality
Both parties agree to maintain confidentiality of proprietary or sensitive information obtained during the course of Services, except as required by law.
14. Non-Solicitation of Personnel
Client agrees not to directly or indirectly hire or solicit APS personnel during the term of Services and for a period of 12 months thereafter without written consent. A placement fee may apply.
15. Compliance with Laws
APS shall comply with all applicable federal, state, and local laws governing private security services. Client shall also comply with all applicable laws related to the premises and operations.
16. Entire Agreement
These Terms, together with any Service Agreement or Scope of Work, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
17. Governing Law
This Agreement shall be governed by the laws of the State of Colorado (or applicable service state), without regard to conflict of law principles.
18. Amendments
These Terms may only be modified in writing signed by both parties.
